Seasoned professionals with a history of assisting firms through transition of ownership, strategic acquisitions and preparation for sale will provide real life examples of overcoming the challenges associated with succession planning.  Walking through what has and hasn’t worked for middle market firms with an emphasis on construction companies will be the primary focus of the panel discussion.  Topics explored will include succession vehicles such as ESOP’s, Generational Ownership Transfer, Dividend Recaps, Preparing Your Balance Sheet for Sale, Mergers and Liquidation.

Rocky Fiore joined Prairie Capital Advisors in 2000 and serves as a member of the company’s Fairness Committee, Operating Committee and Business Development Committee in addition to actively managing client engagements related to ESOP feasibility and structuring, valuation, fairness opinions, M&A, estate planning, capital structuring and more for clients across the country. Mr. Fiore has extensive experience in leveraged ESOP and M&A transactions as well as other forms of leveraged buyouts. He also has a diverse background working with companies in many different types of industries, including: healthcare, IT Services, process management, architecture, engineering, and construction services (AEC), defense contracting, insurance, HVAC and other distribution, capital equipment parts manufacturing, cosmetics and others.

Mr. Fiore is a nationally recognized speaker on topics related to ESOPs, valuation, M&A and more.

Tim Crosby is a partner in the Firm's Tax & Business Services division and a member of the Mergers & Acquisitions Practice group. He joined Marcum in 2015 via the Firm's merger with Frost, Ruttenberg, & Rothblatt P.C., one of the largest full-service accounting firms in the Chicago region.

Prior to joining Marcum, Mr. Crosby led FROST's Mergers & Acquisition Practice and the Strategic, Transactional, Investigation & Restructuring Services (STIRS) team, where he was involved in various business transactions including due diligence, market valuation and tax consulting. He has used his more than 25 years of corporate, partnership and individual tax knowledge, general business acumen and specialized real estate and physician practice expertise to become a trusted advisor to his diverse client base, including real estate, professional services, manufacturing and wholesale clients. Mr. Crosby guides his clients in a multitude of areas including planned expansions, contemplated exit strategies and review of their strategic plans.

For more than 30 years, Mr. Drazner has specialized in providing privately held and family-owned businesses with accounting, tax and consulting services. His strength lies in his creative ability to analyze and assess client needs and situations, in order to enhance profitability and efficiency.

Mr. Drazner's consultations center on his client's business needs and include discussions on tax planning, strategic planning, management challenges, business succession planning, retirement, and estate and financial planning. His clients include manufacturers and distributors, long-term healthcare providers/physician practices, employee benefit plans, construction companies and homebuilders.

At FROST, he led the FROST Peer Review Services team, including internal inspections and reviews of clients' quality control systems. He also served on FROST's Quality Control Committee, among others.
